Donald J. Weidner, a mediator and arbitrator with Upchurch Watson White & Max and dean emeritus of The Florida State University College of Law, will present a free CLE webinar at noon Wednesday, Dec. 19: "Major Issues in Limited Liability Companies." He will address enforcement of the operating agreement, the loss of the buyout right, members locked-in to their investments, the limited rights of dissociated members and other transferees, and contracting away fiduciary duties.

The fast-moving 50 minutes of instruction, good for 1 credit of general Continuing Legal Education/1 credit toward Business Litigation Certification with The Florida Bar, also considers remedies available to dissatisfied members, including limitations on their right to bring direct actions, as opposed to derivative actions.

Featured Presenter: Donald J. Weidner

Don Weidner is dean emeritus at Florida State University College of Law, where until 2016 he served as dean for almost 25 years.

Don also serves as a Florida gubernatorial appointee (with senate confirmation) to the Uniform Law Commission and is Florida’s Legislative Liaison for that group.  From 2011-’13, Don was an appellate judge within the Gulf Coast Claims Facility to resolve disputes arising from the BP Oil Spill at Deepwater Horizon. 

A recognized authority on partnerships, closely-held businesses and real estate finance Don is a co-author of The Revised Uniform Partnership Act (Thomson Reuters 2018). He also has written numerous articles on pass-through taxation, on capital accounts in limited liability companies and in partnerships, and on complex leasing arrangements.

He has for decades taught real estate finance and other business and property classes. He also teaches Alternative Dispute Resolution.
